Terms of Service

This User Agreement governs your use of the Ellipse Mental Wellness platform and services. Please read it carefully before using our website and its services. By accessing or using Ellipse Mental Wellness, you agree to be bound by these terms. If you do not agree, you should not use our services.

1. Definitions

For clarity, the following terms apply throughout this Agreement:

Professional services, "We," "Our," "Ellipse Mental Wellness" - refers to Ellipse Mental Wellness Health platform, including its subsidiaries, affiliates, directors, employees, contractors, and representatives.
User or You - any individual or entity accessing, using, or registering on the Ellipse Mental Wellness platform.
Platform - includes everything on the Ellipse Mental Wellness website and digital resources.
Professional / Practitioner - licensed clinical psychologist who delivers services via Ellipse Mental Wellness.
Services - the mental health and wellness programs, consultations, self-help tools, and other offerings made available by Ellipse Mental Wellness.
Session - a booked appointment or consultation with the Practitioner through the Platform.
Policy - collectively refers to this User Agreement, Terms of Use, Privacy Policy, Cancellation and Refund Policy, and any other guidelines issued by Ellipse Mental Wellness.

2. Scope of Services

Ellipse Mental Wellness provides mental health services through digital tools and professional consultations via an online platform. These services may include:

Evidence-based self-help programs and guided exercises.
Online therapy sessions with the qualified Professional.
Wellbeing interventions for corporate organizations and their employees.

Important: Our services are designed to provide mental health support, guidance and resources. However, they do not constitute a guaranteed solution, cure or outcome. The effectiveness of any mental health intervention depends on multiple factors, including but not limited to an individual's personal circumstances, history, conviction, engagement and cooperation with the service process.

You acknowledge and agree that outcomes may vary from person to person, and the company makes no warranties or representations, express or implied, regarding the success, suitability or effectiveness of the services for your specific needs. Our services are not a substitute for emergency medical care, inpatient psychiatric services or other critical interventions where required.

Ellipse Mental Wellness is not designed for crisis intervention or emergency medical care. If you are experiencing a medical emergency, suicidal thoughts, or any situation that poses immediate harm, please contact local emergency services or a crisis helpline immediately.

Limitation of Liability: To the fullest extent permitted by law, the Company, its affiliates, employees or services providers shall not be liable for any direct, indirect, incidental, consequential or special damages resulting from the use of our services, including but not limited to reliance on any advice, guidance or information provided.

3. Acceptance of Agreement

By using the Platform, you confirm that:

You have read, understood, and agreed to this Agreement and related Policies.
You are legally capable of entering into a binding agreement.
You consent to receive Services, either for yourself or for a minor/ward under your care.
Ellipse Mental Wellness reserves the right to modify or update these terms at any time. Continued use of the Platform means you accept those changes.

4. Eligibility & Lawful Use

You must be at least 18 years old to access our Services. If under 18, parental or guardian consent is required.
You agree to use Ellipse Mental Wellness only for lawful and ethical purposes.
You must not:
- Misuse, disrupt, or damage the Platform.
- Copy, resell, or commercially exploit Ellipse Mental Wellness content without permission.
- Impersonate another person or provide false information.
- Upload content that is unlawful, offensive, or infringes intellectual property rights.
You are responsible for safeguarding your account login details.

5. Intellectual Property

All content on the Platform, including text, graphics, design, software, trademarks, and logos, is the property of Ellipse Mental Wellness or its licensors. You may not copy, distribute, or create derivative works without prior written consent. Use of the Platform does not grant you any ownership rights over Ellipse Mental Wellness's intellectual property.

6. User Content

You remain the owner of any content you share (such as reviews, feedback, or submissions).
By posting or submitting content, you grant Ellipse Mental Wellness a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, and display it for service improvement, communication, or promotional purposes.
You must not upload material that is defamatory, unlawful, misleading, or infringes the rights of others.

7. Payments & Refunds

Fees for Sessions must be paid in advance through the payment methods available on the Platform.
All charges are subject to applicable taxes.
Refunds, rescheduling, or cancellations are governed by Ellipse Mental Wellness's Cancellation & Refund Policy, available on the Platform.

8. Privacy & Data Protection

Ellipse Mental Wellness collects, stores, and processes personal information in accordance with its Privacy Policy, which forms part of this Agreement. By using our Services, you consent to such collection and processing.

9. Service Availability

Ellipse Mental Wellness strives to provide uninterrupted access but does not guarantee that the Platform will always be available, error-free, or secure.
We may suspend or limit access for maintenance, updates, or unforeseen technical issues without prior notice.

10. Limitation of Liability

Ellipse Mental Wellness and its Professionals provide services in good faith but make no guarantee of specific outcomes.
The Company is not liable for:
- Decisions you make based on advice received via the Platform.
- Technical issues, data loss, or unauthorized access beyond our reasonable control.
- Any damages arising from your misuse of the Platform or reliance on its content.
To the maximum extent permitted by law, Ellipse Mental Wellness's liability is limited to the amount you paid for the Services.

11. Disclaimer of Warranties

The Platform and Services are provided on an "as is" and "as available" basis. Ellipse Mental Wellness disclaims all warranties, expressed or implied, including merchantability, fitness for a particular purpose, or non-infringement.

12. Indemnification

You agree to indemnify and hold harmless Ellipse Mental Wellness, its affiliates, employees, and Practitioners from any claims, liabilities, damages, or expenses arising from:

Your use of the Services,
Violation of these terms,
Or infringement of third-party rights.

13. Termination

Ellipse Mental Wellness may suspend or terminate your access if you violate these terms or misuse the Platform.
You may stop using the Services at any time.
Termination does not affect obligations related to payment, intellectual property, confidentiality, or indemnity, which will survive termination.

14. Third-Party Links & Tools

The Platform may include links or integrations with third-party services. Ellipse Mental Wellness is not responsible for the content, availability, or policies of these external services. Use of such third-party tools is at your own risk.

15. Errors & Updates

Occasionally, information on the Platform may contain typographical errors or inaccuracies. Ellipse Mental Wellness reserves the right to correct, update, or modify content without prior notice.

16. Governing Law & Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.

18. Entire Agreement

This document, along with Ellipse Mental Wellness's related Policies, constitutes the entire agreement between you and the Organization and supersedes any prior understanding or arrangement regarding the Services.
